MINUTES Proper minutes shall be kept of all general meetings of the Association and of all meetings of the Executive Committee and sub-committees.
NOTICES Every member is to be registered with the Secretary and in the event of failing so to register shall be deemed to have waived his/her right to receive notices.
INTERPRETATION In case of doubt as to the meaning of interpretation of any of the provisions hereof or of any by-law, the interpretation of the Executive Committee shall be final and binding upon all members.
CONDUCT OF MEMBERS All offences against this constitution or against any rules or by-laws framed in pursuance thereof, and any complaint regarding the conduct of a member shall be dealt with by the Executive Committee on the report of a special sub-committee thereto appointed. The Executive Committee shall have full authority on such report to deal with such offences and complaints and to admonish, suspend or expel any offending member, subject, however, to the right of the member so suspended or expelled to appeal within twenty-one (21) days to the Executive Committee of the Association. A final appeal lies with the Executive Director of Imago Relationships International (IRI), whose decision shall be final and binding upon the Association and the member.
LIABILITY OF MEMBERS The liability of each member shall be limited to the amount of his subscription.
WINDING UP The Association may be liquidated and wound up by resolution of not less than two thirds of the members present at a Special General Meeting call for the purpose, of which notice of not less than thirty (30) days has been given.
AMENDMENTS TO THE CONSTITUTION Any amendments to the constitution shall be passed in general meeting of the Association by a majority vote. Proposed amendments to the said constitution by members shall be submitted to the general meeting. Proxy votes shall be acceptable.
LIQUIDATION If, upon liquidation of the Association, there remains, after the satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the Association, but shall be given or transferred to some other institution or association having objects similar to the objects of the Association. Such other institution or association shall be of an ecclesiastical, charitable or educational nature of a public character within the Republic of South Africa which is itself exempt from taxation as envisaged by Section 10(1)(f) of the Income Tax Act.
